Inspirus Invoice Terms and Conditions
Effective Date: September 15, 2026
These Invoice Terms and Conditions (“Terms”) apply to products and services provided by Inspirus, LLC (“Inspirus”) to the customer identified on the applicable invoice (“Customer”) where no signed written agreement governs the applicable products or services (“Services”).

Superseding Agreements
Any signed written agreement between Inspirus and Customer governing the applicable Services supersedes these Terms to the extent of any conflict.

Acceptance
Customer agrees to these Terms by accepting or using the Services, placing additional orders, authorizing purchases, using or redeeming rewards, or paying an invoice. Continued use of the Services constitutes ongoing acceptance of these Terms.

Payment
Unless otherwise agreed in writing, all invoices are due within thirty (30) days of the invoice date.
Customer is responsible for all applicable taxes, duties, and governmental charges arising from the Services, excluding taxes based on Inspirus’s net income.
Past-due amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. Customer shall reimburse Inspirus for reasonable costs of collecting past-due amounts, including attorneys’ fees.

Suspension of Services
Inspirus may suspend Services upon written notice if Customer fails to pay an undisputed amount when due and such amount remains unpaid for thirty (30) days following notice. Services may remain suspended until all past-due amounts are paid.

Merchandise and Reward Returns
All merchandise, rewards, gift cards, and digital rewards are final and non-returnable once ordered or issued, except for merchandise received damaged, defective, or incorrectly fulfilled by Inspirus.
Damaged, defective, or incorrectly fulfilled merchandise must be reported to Inspirus within twenty (20) days of delivery and may, at Inspirus’s discretion, be replaced or addressed through an applicable manufacturer warranty.
Returns or exchanges based on recipient preference, dissatisfaction, or buyer’s remorse are not permitted.

Gift Cards and Digital Rewards
Gift cards, digital reward codes, and similar electronic rewards are non-refundable once issued and may be subject to the applicable issuer’s redemption terms, expiration rules, and restrictions.

Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles.

Severability; Waiver
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in effect.
Failure by Inspirus to enforce any provision does not waive its right to enforce that provision later.

Security Notice
Customers should independently verify any change to Inspirus payment or banking instructions using existing trusted contact information.
Inspirus will communicate changes to payment instructions in writing through authorized personnel.
